1. Acceptance of Terms

By accessing or using the sayfemarine.com website, the Sayfe mobile application, or any services provided by Sayfe Marine Advisory Pte. Ltd. ("Sayfe", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients of Sayfe.

Sayfe reserves the right to modify these terms at any time. Continued use of our website or services after any modification constitutes your acceptance of the updated terms. The most current version of these terms is always available at sayfemarine.com/terms.

2. Use of the Website

You may use the Sayfe website for lawful purposes only. You agree not to use the website to transmit any material that is unlawful, harmful, threatening, abusive, or otherwise objectionable. You agree not to attempt to gain unauthorised access to any part of the website or its underlying infrastructure. Sayfe reserves the right to terminate or restrict your access to the website at any time, without notice, if we believe you are violating these terms or applicable law.

The content on this website, including text, design, graphics, and data, is the intellectual property of Sayfe Marine Advisory Pte. Ltd. or its licensors. You may not reproduce, distribute, or create derivative works from any content on this website without our prior written consent.

3. Marine Advisory Services

Sayfe provides professional marine advisory services for vessel transits through the Malacca and Singapore Straits. All advisory engagements are subject to a separate service agreement between Sayfe and the client (ship owner, fleet manager, or vessel operator). The terms of any such service agreement govern the specific obligations of both parties in relation to that engagement.

Advisory services are provided by certified, experienced navigators. Sayfe advisors operate in an advisory capacity only. The master of the vessel retains full command authority and ultimate responsibility for the safe navigation of the vessel at all times, in accordance with SOLAS, COLREGS, and applicable flag state law. Nothing in any Sayfe advisory engagement transfers command authority or legal responsibility from the master to the Sayfe advisor.

Sayfe does not guarantee specific transit outcomes, speeds, or timings. Advisory engagements are subject to advisor availability, vessel readiness, and prevailing sea and traffic conditions.

4. Bookings and Cancellations

Bookings for marine advisory services may be made through the Sayfe mobile application or directly through our operations centre at ops.sayfe@gmail.com. A booking is confirmed only when Sayfe has issued a written confirmation, which may be by email or through the application. Sayfe reserves the right to decline any booking request at its discretion.

Cancellations by the client are subject to the cancellation policy set out in the applicable service agreement. In the absence of a specific agreement, cancellations made less than 24 hours before the scheduled advisor embarkation time may be subject to a cancellation charge. Sayfe will endeavour to provide reasonable notice of any changes to the assigned advisor or embarkation arrangements, though operational circumstances may require changes at short notice.

5. Payment Terms

Fees for Sayfe advisory services are set out in the applicable service agreement or quotation. Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date. Sayfe accepts payment in USD and SGD. Late payment may attract interest charges as set out in the applicable agreement or at the statutory rate under Singapore law. Pricing information provided on the website is indicative only and subject to change.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Sayfe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our website, application, or services, including but not limited to loss of revenue, loss of profits, loss of use of a vessel, delay damages, or third-party claims.

Sayfe's total aggregate liability to any client in connection with an advisory engagement shall be limited to the fees paid by that client for the specific engagement giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

7. Indemnification

You agree to indemnify, defend, and hold harmless Sayfe Marine Advisory Pte. Ltd., its directors, officers, employees, and advisors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the website or services, your violation of these terms, or your violation of any applicable law or regulation.

8. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Singapore, unless the parties agree in writing to resolve the dispute by arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
